Semiconductor Supply Agreement

A. Supply. Subject to the terms of the agreement, after the release date of the product, ON SEMICONDUCTOR will manufacture production products in accordance with ASIC specifications and all applicable SEMs that have been approved in writing by SQUARE, and SQUARE or an approved buyer will purchase production products ordered according to orders placed from time to time. “We are working to guide the transition of the global semiconductor market from silicon carbide solutions to silicon carbide solutions and we are pleased to help ON Semiconductor accelerate this market,” said Gregg Lowe, CEO of Cree. Cree, Inc. and ON Semiconductor Corporation have announced a multi-year contract in which Cree will manufacture and supply ON Semiconductor® its silicon carbide hazard. The agreement, valued at more than $85 million, provides for the supply of 150 mm (SIC) silicon carbide in cash and epitaxial from Cree to ON Semiconductor for use in high-growth markets such as electric vehicles and industrial applications. A. “ASIC specification,” the ASIC specification, in which the functions, functions and characteristics of the product, as well as all the expressly referenced requirements for qualifications and background checks, as well as the criteria set out in Schedule A, may be amended in writing from time to time by the parties, by mutual agreement.

“Partnering with Cree is essential to maintaining a first-class supply base. This agreement supports our commitment to develop automotive and industrial applications and to ensure the availability of state-of-the-art silicon carbide that helps engineers solve their unique design challenges,” concludes Wincel. The parties agree with the terms of this specifications and agree that it replaces and removes all prior written or oral agreements between the parties with respect to the technical requirements to which the product must meet and that they express the full and definitive understanding of the parties on this matter. This specification must be signed by both parties at the end of the product definition phase and when the product is released (Limited Transfer to Qualification or Limited Transfer to Production). 14.5. Mask function. Subject to the full payment of SQUARE to ON SEMICONDUCTOR of the NRE, ON SEMICONDUCTOR SQUARE grants an unlimited, irrevocable, free, fully paid and under-granted license (as required for third parties, to integrate products into SQUARE products and market these products) in order to exercise all rights to the hidden works contained in the product and in the licensed function. This license is exclusive and exclusive (including ON SEMICONDUCTOR) in terms of product topography and licensed and non-exclusive tools for hidden works contained in individual standard cells, libraries, macros and other ON SEMICONDUCTOR design data contained in the product. Notwithstanding the contrary nature, the parties agree that it is [O].
